I. NAME
This Club shall be known as the North Hunterdon Soccer Club, Inc., also referred to as the ’NHSC.’
II. PURPOSE
1. The purpose of the NHSC shall be to develop, promote, govern and provide non-profit soccer competition among the youth (under 19 years of age) within the greater
Hunterdon County, New Jersey Area.
2. NHSC or its members will not discriminate against any individual on the basis of race, color, religion, age, sex, or national origin.
III. AFFILIATION
1. NHSC shall comply with the authority of, New Jersey State Youth Soccer Association (NJSYSA) and the United States Youth Soccer Association (USYSA).
2. NHSC will not join any organization that has requirements that conflict with the NJYSA articles, bylaws, policies and requirements.
IV. TAX EXEMPT STATUS
NHSC shall maintain its tax-exempt status under the Internal Revenue Code (IRS).
V. GOVERNING AUTHORITY
1. The NHSC shall be governed by a Board of Directors.
2. The NJSYSA articles of incorporation, bylaws, policies, and requirements take precedence over and supersede the governing documents and decisions of North Hunterdon Soccer Club and its membership to the extent applicable under
New Jersey state law. NHSC and its members will abide by those articles, bylaws, policies, and requirements of NJSYSA.
SECTION I.
The Board of Directors shall be composed of:
A President, Secretary, Treasurer, Registrar, Director Boys Travel Soccer Programs, Director Girls Travel Soccer Programs, Director Premier Travel Soccer Programs, Director Player Development, Director of Fields, Director of Equipment, Director Youth Protection and Sportsmanship (League Contact) and Director of Communication. The term of each board position will be for a minimum period of one year.
SECTION II.
Responsibility and Authority of the Board of Directors:
The Board of Directors shall be responsible and have sole authority for:
A. Enforcing the Constitution, Bylaws, and Rules and Regulations.
B. Acting upon applications of teams and players for affiliation.
C. Adopting temporary rules and regulations for specific cases or circumstances, not provided in the Constitution, Bylaws, Rules and Regulations, which are deemed necessary to carry out the objectives of the NHSC.
D. Taking such action between meetings as is required to resolve problems, settle issues, institute programs, comply with instructions, and carry out other functions necessary for the operation of the NHSC in accordance with the overall policy of the Board.
E. Approve the Annual Budget.
F. Proposing new programs, changes in existing programs and other subjects for consideration.
G. Proposing amendments to the Constitution and Bylaws.
H. Establishing the procedures, rules and fees required for membership in the club.
I. Interpretation of the Rules and Regulations and the authority to make decisions on matters not covered under the rules
SECTION III.
Meetings:
The Board of Directors:
The Board of Directors shall meet at least semi-annually, whenever the President deems a meeting necessary or whenever the President is instructed to call a meeting by a simple majority of the members of the Board.
VI. AMENDMENTS TO THE CONSTITUTION
Amendments to the constitution can be approved only at the Board Meetings. The approval of any proposed amendment shall require an affirmative vote of sixty-six and two third percent of the votes cast.
Said amendments shall become effective at the adjournment of the Board Meeting.
